Founder's Lifetime Addendum

Applicability. Founder's Lifetime purchases are not yet available. This Addendum will become operative upon the launch of paid tiers on the Service. Until that date, this document is published for informational purposes so that waitlist members can review the terms of the offering in advance.
This Founder's Lifetime Addendum (the "Addendum") forms part of the Terms of Service and applies specifically to your purchase of the Founder's Lifetime tier (the "Lifetime Entitlement") on the Service.
By purchasing the Lifetime Entitlement, you agree to be bound by this Addendum, in addition to the Terms of Service, the Privacy Policy, the Cookie Policy, and the End User License Agreement. In the event of any conflict between this Addendum and the Terms of Service, this Addendum controls solely with respect to the Lifetime Entitlement.
1. Definitions
- "Purchaser" means the person who has purchased the Lifetime Entitlement.
- "Purchase Date" means the date on which HeresNext successfully charged the Purchaser's payment method for the Lifetime Entitlement.
- "Purchase Price" means the one-time amount paid by the Purchaser for the Lifetime Entitlement at the Purchase Date, exclusive of any sales or other taxes.
- "Lifetime of the Product" means the period during which HeresNext continues to operate the Service for the general public, beginning on the Purchase Date and ending on the date the Service is permanently discontinued.
- "Service Discontinuation" or "Shutdown Event" means HeresNext permanently ceases to operate the Service. Temporary outages, downtime, scheduled maintenance, feature changes, and changes in pricing or tiers for new customers are not Service Discontinuations.
- "Pro Features" means the set of features made available to subscribers of the Pro Monthly or Pro Annual tiers from time to time. The specific Pro Features may change in HeresNext's reasonable discretion, but a Lifetime Entitlement always includes all Pro Features then offered.
- "Vesting Period" means the period of twenty-four (24) calendar months beginning on the Purchase Date.
2. Purpose
The Lifetime Entitlement exists to allow early supporters to fund the launch of the Service and to receive lasting access in return. It is limited in supply and is not intended to be the long-term revenue model for the Service.
3. The Offer
In exchange for the one-time Purchase Price, HeresNext grants the Purchaser:
- Access to all Pro Features for the Lifetime of the Product, subject to the limits and acceptable-use rules in the Terms of Service.
- A Founder Badge visible on the Purchaser's profile within the Service, in recognition of their early support.
- Priority response to support inquiries submitted through the contact form or to the support email address.
The Lifetime Entitlement is for the Lifetime of the Product, not the lifetime of the Purchaser. 'Lifetime' means as long as HeresNext continues to operate and offer the Service. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason. If the Service is permanently discontinued, the Lifetime Entitlement ends on the date of Service Discontinuation, subject to the refund protections in § 5.
4. Standard refund schedule
Apart from the protections in § 5 (which apply only to Service Discontinuation), the following refund schedule applies to voluntary cancellation by the Purchaser:
- Within thirty (30) days of the Purchase Date: full refund of the Purchase Price, no questions asked.
- Between thirty-one (31) and ninety (90) days after the Purchase Date: a refund of fifty percent (50%) of the Purchase Price.
- After ninety (90) days from the Purchase Date: the Lifetime Entitlement is non-refundable on voluntary cancellation. The Service-Discontinuation protections in § 5 continue to apply.
5. Service-Discontinuation protections
If a Shutdown Event occurs, HeresNext will:
5.1 Provide notice
HeresNext will use reasonable efforts to notify Lifetime Entitlement holders before the Service is permanently turned off, by email to the address on file and/or by a prominent notice on the Service. HeresNext does not guarantee any specific notice period and shall have no liability for any failure or delay in providing notice.
During any notice period, Purchasers may export their data via the standard CSV-export tool.
5.2 Pay a pro-rata refund
Refund a portion of the Purchase Price calculated according to the linear vesting schedule in § 5.3.
5.3 Vesting schedule
The Lifetime Entitlement vests on a linear basis over the Vesting Period of twenty-four (24) months from the Purchase Date. On the date of Service Discontinuation:

If the date is less than 24 months after the Purchase Date, the Purchaser is entitled to a refund equal to:
Refund = Purchase Price × ( 1 − M / 24 )
where M is the number of full calendar months that have elapsed between the Purchase Date and the date of Service Discontinuation, rounded down to the nearest whole month, and 24 is the number of months in the Vesting Period.

If the date is 24 months or more after the Purchase Date, the Lifetime Entitlement is fully vested and no refund is payable.
5.4 Worked examples
For illustration, assuming a Purchase Price of $200:

The Purchase Price in the table is for illustration only and is not the actual price of the Lifetime Entitlement.
5.5 Method of refund
Refunds under § 5 are paid via the original payment method where reasonably possible. If the original payment method is no longer available, HeresNext will use a reasonable alternative (for example, a check or an ACH transfer to a US bank account) and will work with the Purchaser to identify one.
5.6 No further obligations
Once a Shutdown Event has occurred and any refunds owed under § 5 have been issued, HeresNext has no further obligation to Lifetime Entitlement holders under this Addendum, except for obligations that by their nature survive (including obligations under the Privacy Policy regarding data retention and deletion). You agree that we have no liability whatsoever for any loss, damage, or inconvenience arising from or related to any interruption, suspension, modification, degradation, or discontinuance of the Services, whether temporary or permanent, including but not limited to your inability to access or use the Services, loss of data, loss of business, or any other damages of any kind.
6. Cap on issuance
The Lifetime Entitlement is limited to the first five hundred (500) Purchasers, measured by the order in which payment is successfully captured by our payments processor.
If a Lifetime Entitlement is fully or partially refunded under § 4 or § 5, the corresponding spot is not restored to the pool of available Lifetime Entitlements. Once 500 Purchasers have completed payment, no additional Lifetime Entitlements will be sold, even if subsequent refunds reduce the active count below 500.
7. Non-transferable
The Lifetime Entitlement is personal to the Purchaser. It may not be sold, transferred, gifted, assigned, sublicensed, or otherwise conveyed to any other person, except to a Purchaser's estate following the Purchaser's death and subject to the limits below.
If a Purchaser dies, the Purchaser's estate may, within twelve (12) months of the date of death, request that the Lifetime Entitlement be transferred to a single named beneficiary by emailing Loading... with appropriate documentation. HeresNext will honor reasonable requests in good faith. A beneficiary may not further transfer the Lifetime Entitlement.
8. The Founder Badge
The Founder Badge is a visual indicator displayed on the Purchaser's in-Service profile. It is provided as part of the Lifetime Entitlement and does not confer any rights other than the visible recognition itself. The design and placement of the Badge may change in HeresNext's reasonable discretion.
9. Changes to this Addendum
We may update this Addendum from time to time, but changes to this Addendum that would materially reduce the rights of an existing Purchaser (including changes to the Vesting Period, the Standard Refund Schedule in § 4, the Service-Discontinuation protections in § 5, the cap on issuance for already-issued Entitlements, or the non-transferability rules in § 7) will not apply retroactively to Lifetime Entitlements already purchased before the change.
Non-material changes (for example, clarifications of wording that do not change the substance) and changes that improve Purchaser rights take effect for all Purchasers on the effective date.
10. No agency, partnership, or investment
Purchase of a Lifetime Entitlement does not make the Purchaser a partner, investor, shareholder, member, agent, or employee of HeresNext or of HeresNext LLC. The Lifetime Entitlement is a prepaid subscription product. It is not a security, equity interest, or financial instrument.
11. Governing law and dispute resolution
The governing-law and dispute-resolution provisions of the Terms of Service § 14 apply to this Addendum.
12. Survival
Sections that by their nature should survive termination, expiration, or refund (including § 5.6 on the limit of further obligations, § 6 cap on issuance, § 7 non-transferability, § 10 no agency, and § 11 governing law) will survive.
13. Severability and entire agreement
If any provision of this Addendum is held invalid or unenforceable, the remaining provisions remain in full force and effect. This Addendum, together with the Terms of Service, Privacy Policy, Cookie Policy, and EULA, constitutes the entire agreement between you and HeresNext with respect to the Lifetime Entitlement.
