End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and
HeresNext ("HeresNext," "we," "our," or "us"), an Internet service
operated from Massachusetts, USA, with HeresNext LLC formation pending in Massachusetts.
Upon formation, HeresNext LLC will be substituted as the licensor under this EULA.
The EULA governs your use of the software components of the HeresNext Service (the
"Software"). The Software includes the web application
at heresnext.com, any installable progressive-web-app version, any mobile or
desktop client we may distribute in the future, and any updates, modifications, or
additions to the foregoing.
This EULA is incorporated by reference into and forms part of our Terms of Service. In the event of any conflict between this EULA and the Terms of Service, this EULA controls solely with respect to the Software license.
By using the Software, you agree to be bound by this EULA. If you do not agree, you may not use the Software.
1. Definitions
- "You" or "your" means the individual who has accepted this EULA and uses the Software, or, where the Software is used on behalf of an entity, that entity and the individual representing it.
- "Your Data" has the meaning given in the Terms of Service § 4.
- "Documentation" means the user-facing documentation, guides, and help materials we publish in connection with the Software.
2. License grant
Subject to your compliance with this EULA, the Terms of Service, and any applicable subscription terms, HeresNext grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software for your personal, non-commercial purposes.
The Software is licensed to you, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights, except for the limited license expressly granted above.
3. Restrictions
You may not, and may not permit any third party to:
- Reverse-engineer the Software, disassemble or decompile it, or attempt to derive its source code or underlying algorithms, except to the extent that applicable law expressly permits such activity (for example, for interoperability purposes where required by law);
- Modify, adapt, translate, or create derivative works based on the Software;
- Sell, rent, lease, sublicense, or otherwise transfer the Software or your access to it to any third party;
- Use the Software to develop, train, or improve any competing product, including through scraping, machine-readable extraction, or large-scale automated access;
- Bypass or attempt to bypass any access control, rate limit, license-enforcement mechanism, or technical protection measure in the Software;
- Use any automated tool (bot, scraper, crawler) to interact with the Software,
except for legitimate search engines that respect our
robots.txt; - Use the Software in a way that violates any law, third-party right (including intellectual property or privacy right), or these terms;
- Misrepresent your identity or affiliation when using the Software;
- Probe, scan, or test the vulnerability of the Software or its infrastructure without our prior written authorization (responsible disclosure to Loading... is welcomed);
- Remove, alter, or obscure any proprietary notice, label, or branding in the Software or in any output it produces.
4. Updates
We may release updates, patches, and new versions of the Software at our discretion. You acknowledge that we are not obligated to provide any specific update, and that updates may add, change, or remove functionality. As a hosted service, updates generally apply automatically without action on your part.
5. No transfer of account
You may not transfer your account or share your login credentials with any other person. If we reasonably believe that your account is being shared in violation of this section, we may suspend or terminate your access.
6. Your Data and inputs
You retain ownership of Your Data, including any data you input into the Software and any output that consists primarily of Your Data. Your rights to Your Data are governed by the Terms of Service § 4.
For clarity, the following are not Your Data and remain the property of HeresNext: the Software itself; our database schemas and reference data (for example, the catalog of credit-card warranty benefit terms we maintain); the Documentation; our brand assets; and any aggregated, anonymized data derived from your use that cannot reasonably be re-associated with you.
7. Third-party services and content
The Software may include or interoperate with services and content provided by third parties (for example, our payments processor, our email-delivery vendor, our analytics vendor, and the credit-card issuers, retailers, and manufacturers whose policies we reference). HeresNext is not responsible for any third-party service or content, and your use of any third-party service is governed by that third party's terms.
8. Open-source components
The Software may incorporate open-source software components. Each open-source component is licensed under its own license terms, which take precedence over this EULA with respect to that component. A list of open-source components and their licenses is available on request to Loading....
9. Disclaimers
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability.
The Software provides general information about consumer protections. This information is for reference only and is not legal, financial, or professional advice. See the Terms of Service § 11 for the full disclaimer.
10. Limitation of liability
The limitations of liability set out in the Terms of Service § 12 apply to this EULA and to your use of the Software.
11. Termination
This license terminates automatically if you breach any provision of this EULA. We may also terminate the license at any time for the reasons set out in the Terms of Service § 15.
On termination:
- Your right to use the Software immediately ends;
- You must stop accessing the Software;
- Sections that by their nature should survive termination (including § 2 with respect to retained rights, § 6 ownership clauses, § 9 disclaimers, § 10 liability, and § 13 governing law) will survive.
The termination provisions of the Terms of Service (including the account-deletion schedule in our Privacy Policy) govern what happens to Your Data.
12. Export and trade compliance
You may not use, export, or re-export the Software in violation of US export laws or regulations, including the Export Administration Regulations, or in violation of any applicable trade sanctions. You represent that you are not located in, and you are not a national or resident of, any jurisdiction subject to comprehensive US trade sanctions.
13. Governing law
This EULA is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Disputes arising under this EULA are subject to the dispute-resolution provisions in the Terms of Service § 14.
14. United States government end users
If you are an agency, instrumentality, or other entity of the United States Government, your use of the Software is restricted in accordance with FAR § 12.212 and DFARS § 227.7202. The Software is "commercial computer software" and any related documentation is "commercial computer software documentation."
15. Changes to this EULA
We may update this EULA from time to time. Material changes will be communicated as described in the Terms of Service § 16.
